Related-Party Transaction Conflict-of-Interest Questionnaire Template
The Related-Party Transaction Conflict-of-Interest Questionnaire Template will include the policy for reviewing, approving, and reporting related party transactions as well as a questionnaire. The policy in TM1030-1 RELATED PARTY TRANSACTION POLICY AND CONFLICT-OF-INTEREST QUESTIONNAIRE should address relevant matters such as:
- Fairness of terms for the company;
- Materiality of the transaction (i.e. in annual or total dollar amounts);
- Role of related party in the transaction;
- Structure of the transaction; and
- Interests of all parties to the transaction.
The CFO should annually create a memo and questionnaire concerning related party transactions and send to those listed employees to be completed and returned. The CFO should also review the returned questionnaires, evaluate and tentatively approve all related party transactions, and submit them to the Board of Directors Audit Committee for review and final approval.
The CFO should collect appropriate information about related party transactions from returned questionnaires, consider and approve or disapprove individual disclosed reporting related party transactions, and complete Section III of the TM1030-1 RELATED PARTY TRANSACTION POLICY AND CONFLICT-OF-INTEREST QUESTIONNAIRE.
